Counterspell requires you to see a creature casting a spell. In order for a spell to be counterspelled there has to be something visible to tell they are casting. As RoSS (and most other magic items that cast spells) do away with all the components there’s nothing to see so you can’t counter it.
Can you counterspell a Flameskull?
It may not know which spell the Flameskull is casting but you don’t need to in order to counterspell. So the Wizard reacts to that magic word by casting Counterspell. It only requires a Somatic component and can be done with the Wizard’s other hand.
